1. Acceptance of Terms
By accessing or using Clinic Directory (the "Service"), operated by the Operators of Clinic Directory (a sole proprietorship), you agree to be bound by these Terms of Service. The Service is available to users across Alberta, British Columbia, Saskatchewan, and Manitoba. If you do not agree to these terms, please do not use our Service.
2. Nature of the Service (Not Medical Advice)
Important Medical Disclaimer:
Clinic Directory is a marketing and directory service designed to connect individuals with independent healthcare clinics. We are not a healthcare provider.
- We do not provide medical advice, diagnosis, or treatment.
- The information provided on this platform is for informational purposes only and is not a substitute for professional medical consultation.
- Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.
3. Intake Form Referrals
When you submit an Intake request, you authorize us to securely transmit the information provided to the selected or matched independent clinics. We do not guarantee appointment availability or the quality of care provided by these independent clinics. The responsibility for any medical treatment or advice rests solely with the healthcare provider you choose to engage.
4. AI-Generated Content
Some content on this platform β including service guides, blog articles, study summaries, and coordinated care guides β is generated or assisted by artificial intelligence. While we strive for accuracy, AI-generated content:
- Does not constitute medical advice
- May contain general information that does not apply to your specific situation
- Is provided on an "as-is" basis without warranties of completeness or accuracy
- Should be verified with a qualified healthcare professional
5. Directory Data & Web Crawling
To build a comprehensive network of local health resources, our systems programmatically index publicly available information from sources such as OpenStreetMap and public clinic websites.
- Public Indexing: We display basic factual data (e.g., clinic name, address, phone number). This constitutes fair use of publicly available facts.
- Claiming a Profile: Clinic owners are encouraged to claim their generated profiles free of charge. Claiming a profile grants you control over its contents, images, and listed services.
- Opt-Out: If you are a clinic owner and wish to have your publicly indexed profile removed from our directory, please contact support with a verification of ownership, and we will promptly unpublish the listing.
6. Advertising & Sponsored Content
Our platform displays advertisements and sponsored content from healthcare providers. Sponsored listings and featured content are clearly labeled as "Sponsored" or "Featured" and are paid placements. The presence of advertising does not constitute an endorsement, recommendation, or validation by Clinic Directory of any particular provider, treatment, or service.
7. Clinic & Provider Responsibilities
If you are a healthcare practitioner or clinic owner using our platform, you agree to the following standards to ensure trust within the community:
- Listing Accuracy: You are strictly responsible for ensuring all information on your profile is accurate and up-to-date, including your current waitlist status and services offered.
- Regulatory Compliance: You must maintain all required licenses and registrations with your provincial regulatory college in good standing.
- Directory+ Point Economy: We reward active community participation through Directory+ Points. These points grant premium visibility. To ensure a fresh and responsive ecosystem, inactive points will begin to decay after 90 days. Simply logging in and updating your profile maintains your active status.
- Subscription Terms: Paid subscriptions (Starter, Growth, Featured) renew monthly unless cancelled.
8. Patient Data & Information Management Agreement (IMA)
If you are a clinic or healthcare provider receiving Patient Intake requests through our Service, you agree to the following data governance requirements under applicable privacy legislation (including PIPEDA, HIA, and PIPA):
- Role Definitions: Clinic Directory acts solely as an Information Manager (or Service Provider). The receiving Clinic acts as the Health Information Custodian.
- Custodianship Transfer: Liability and legal custodianship of the patient's Personal Health Information (PHI) transfers entirely to the Clinic the moment the intake data is routed to the Clinic's designated email or system.
- Data Minimization: Clinic Directory anonymizes routed intake data 30 days after submission and does not maintain permanent Electronic Medical Records (EMRs). The Clinic is solely responsible for securely ingesting the routed intake data into their own compliant EMR system and retaining it according to their college's regulatory standards.
- Security & Breach Notification: The Clinic agrees to maintain industry-standard security practices for email and inbound messaging. If the Clinic suffers a data breach compromising routed PHI, the Clinic is solely responsible for notifying the affected patients and applicable Privacy Commissioners.
9. User Conduct & Reviews
The Clinic Directory is built on mutual respect between patients and providers.
- Intake Integrity: You agree not to submit any false, misleading, or fraudulent information through our Intake forms or contact features.
- Patient Reviews: Reviews must reflect actual patient experiences. We have a zero-tolerance policy for defamatory, harassing, or discriminatory language. We reserve the right to remove any review that violates these community standards or is found to be fraudulent.
10. Intellectual Property
All proprietary content on Clinic Directory β including code, design architecture, system algorithms, and AI-generated informational material β is the property of Clinic Directory or its content suppliers and is protected by Canadian intellectual property laws. You may not reproduce, distribute, or reverse-engineer the platform without prior written consent.
11. Limitation of Liability
To the fullest extent permitted by law, the Operators of Clinic Directory (operating as a sole proprietorship), its affiliates, employees, or agents shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Service or any interaction with healthcare providers listed on our platform, except in cases of proven gross negligence or intentional misconduct.
In no event shall our total aggregate liability to you for all damages, losses, and causes of action exceed the greater of zero dollars ($0) or the amount you have paid us in the past twelve (12) months. Your use of any clinic or routing service found through our directory is entirely at your own risk.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
13. Dispute Resolution
Any dispute arising from these Terms or your use of the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration in Edmonton, Alberta, under the rules of the ADR Institute of Canada.
14. Changes to Terms
We reserve the right to modify these Terms of Service at any time to reflect changing operational, legal, or regulatory requirements. Any changes will be effective immediately upon posting. Your continued use of the Service constitutes acceptance of the revised Terms.
